The proposed regulations specify that the Board’s Annual Report would include a statement of the corporate governance practices of the board of directors specifying: its duties, objectives, and mandate; its committees, their composition, mandates, and activities; the decisions requiring its prior approval; the procedures in place for the assessment of its performance; and its expectation of the Board’s management.
